We are looking to hire a highly motivated and commercially minded Senior Legal Counsel (f/m/d) to augment our existing Global BDL/M&A legal team based at STADA´s headquarters in Bad Vilbel. The Senior Legal Counsel will be a member of the Global BDL / M&A legal team, providing cross-regional and global legal support on a wide range of life sciences related legal matters but, in particular, will be responsible for drafting and commenting on transaction documents, conducting legal due diligence, leading/supporting legal negotiations until signing and closing as well as managing post-closing matters related to BDL transactions.
In this role you will report into the Director Legal Affairs – Global BDL/M&A and will work closely with other members of the global legal department as with colleagues from other functions such as Procurement, Patents, Quality, Regulatory and BDL.
What you can expect:
- Drafting, reviewing and negotiating BDL transaction documents (such as in-/out licensing agreements, co-development agreements, distribution agreements) and participating in due diligence
- Drafting, reviewing and negotiating a wide variety of agreements throughout the entire value chain of a pharmaceutical company such as CDAs, manufacturing and supply agreements
- You will provide business-focused and reliable legal advice to internal stakeholders, in particular, to the BDL department, but also to procurement department, external supply department, regulatory and quality departments, on various legal topics
- You will take care of identifying training needs among business stakeholders and developing/presenting training and education on relevant legal topics/legal developments or use of existing templates
- You will identify and develop contract template needs
- Establishing and building good working relationships with internal clients based on mutual trust and respect and a comprehensive knowledge of the company’s business, strategy, its needs, and objectives.
- You will coordinate and manage external counsel as required for advice in several jurisdictions
Who we are looking for:
- You hold a university degree in law and completed second German State Exam, preferably with above-average grades, or foreign qualified lawyer (preferably from Germany, the UK, Switzerland, Austria with above-average grades)
- You can demonstrate at least 5 years PQE, preferably with a minimum of 2 years PQE in the pharmaceutical or life science industry
- A proven record in drafting and negotiating of commercial contracts typical within the life science industry, including BDL related transaction agreements
- Entrepreneurial thinking, ability to exercise sound commercial and legal judgement, ability to handle (and striving for completion) multiple projects in a fast-paced environment and ability to identify the relevant legal issues and provide strategic directions with business acumen
- You are skilled at managing outside counsel
- You are able to work effectively with minimal supervision
- Strong analytical and communication skills
- Fluent command of English, German would be desirable (however not mandatory)
