About the role


We’re looking for a Legal Counsel to join us at our new Frankfurt location, which will play a significant part in our wider global operations, and ensure the effective delivery of our customer projects in Germany and the rest of Europe.


Alongside the Frankfurt site service delivery team, a number of ITM Power Group functions will have a presence at this location, including Business Development, Data Technology, Design Engineering, as well as Legal.


The Legal Department within ITM Power supports the international operations of ITM Power by (a) negotiating commercial agreements; (b) managing corporate transactions; (c) ensuring compliance with legal regulations; and (d) managing disputes. In addition, the Legal Department provides all aspects of general and commercial legal advice relating to the operations of ITM Power including data protection, intellectual property and legal compliance matters.


The Legal Counsel will, in general terms, be expected to work closely with the other members of the Legal team and members of ITM Power to:


  • support the legal activities of ITM Power on its projects;
  • collaborate with other departments to support the development and improvement of legal, governance and contract management processes; and
  • provide general legal advice to ITM Power on its day to day functions and international operations.

The Legal Counsel is expected to play a significant role in the Legal team to help ITM Power to achieve its corporate objectives and deliver value to shareholders.


Duties and Responsibilities


  • Negotiate key project contracts (together with related grants, security and other agreements) on behalf of ITM Power.
  • Negotiate key supplier contracts, provide flow-down terms for procurement of supplier contracts and support the procurement team.
  • Provide legal support to corporate legal matters.
  • Support the development or improvement of ITM Power legal compliance policies and implementation.
  • Provide general and commercial legal advice and support to ITM Power in its day to day operations.
  • Develop guidance and training materials and deliver training on legal matters to ITM Power staff.
  • Monitor and advise ITM Power on potential and relevant UK and EU legislative changes.
  • Support and manage disputes and potential litigation.
  • Provide where required employment law and data protection advice to the HR team and ITM managers.
  • Instruct and manage external legal advisors.

Education and Training


  • fully qualified lawyer / business lawyer
  • at least 3 years of professional experience as a lawyer or preferably in-house lawyer with comprehensive knowledge of contract law and related areas of law
  • Experience of managing a wide scope of high value commercial legal matters and agreements is essential
  • Evidence of operating within effective legal teams that deliver high standards
  • Evidence of working collaboratively and working to achieve solutions to challenging problems efficiently and expediently
  • Evidence of advising on management of legal risk in a business context
  • Experience of managing external advisors with regard to quality and cost
  • Up to date knowledge of commercial, contract and company law together with the ability to keep abreast of legislation and assess the impact of impending changes in law
  • Experience of dealing with a wide range of stakeholders and advisers, including specialist legal firms, client and supplier roles and shareholders

  • Knowledge and Experience
    • Experience negotiating engineering and/or construction agreements with large global companies
    • Experience in managing legal advice in international jurisdictions
    • Some experience in managing disputes and contentious matters
      • Skills and Abilities
        • Business fluent in spoken and written German and English
        • Highly skilled in negotiating and drafting commercial agreements
        • Motivated and driven self-starter, with strong sense of responsibility and accountability
        • Ability to focus on solution-oriented, practical and legally compliant solutions
        • Ability to process and communicate complex topics in a way that is appropriate for the target group
        • Ability to work both independently and as part of a team in a dynamic environment
        • Confident and friendly demeanour as well as enjoyment of working with other stakeholders
