The Associate General Counsel will be responsible for providing legal advice to the pan-European Housing investment programme within Nuveen’s growing Housing, Alternatives and Strategic Transactions (“HAST”) Team. The HAST Team in Europe has a committed portfolio of ~€2.5bn with significant long-term growth ambitions – driven by both internal and external capital. Focus will be on overseeing transactions for our responsible funds and managed and/or advised clients and managing legal risk on a consolidated basis for the business.
Main Duties & Responsibilities
  • Draft/review and negotiate contracts and other documents relating to the fund entities’ activities in the context of HAST transactions, including SPAs, heads of terms, due diligence, development agreements, advisory agreements, leases and finance documentation;
  • Assist with implementation of new structures and compliance with internal governance processes and procedures;
  • Assist with mergers, restructurings, divestitures and related integration processes on behalf of our clients , working closely with our tax structuring team as appropriate;
  • Work closely with the investment teams and other business partners throughout the lifetime of the transaction, starting from the point of origination to transaction execution;
  • Appoint, manage and collaborate with local external counsel;
  • Attend and participate in the weekly Investment Meeting as well as Fund and HAST Team meetings, updating the wider legal team as appropriate;
  • Present to business stakeholders, including senior management and the Investment Committee, identified key risks, mitigants and transactional structure generally;
  • Develop and implement together with the wider legal team, policies, guidelines and precedents for transactions and general business operations and implement/instruct external counsel accordingly;
  • Collaborate with Nuveen wider global legal and transactional team, on a regular basis to share ideas, knowledge and best practice, including to develop or implement new initiatives;
  • Draft legal guidance notes on legal and transactional issues relevant to the business and present key updates at the weekly Investment Meeting or to targeted audiences.
Technical Skills & Qualifications Required
  • A qualified lawyer (approximately 3-5 years PQE) with experience gained in an internationally recognised top tier legal firm or in-house with an investment management firm (or a similar regulated business);
  • Experienced in M&A and joint ventures;
  • Familiarity with real estate law, including experience in due diligence, leasing and developments;
  • Cross border experience, and language skills are an asset.

  • Can spot and assess risk (including reputational risk) and propose mitigation strategies;
  • Able to think independently and challenge in an appropriate manner;
  • Exhibits influencing skills;
  • Experience in working on and managing a broad range of matters with a flexible attitude;
  • Comfortable operating in/with a multi-location and multi-national extended team,;
  • Act in line with Nuveen’s core values.
