Your Challenge

An opportunity has arisen for a Legal Counsel EMEA within our EMEA Legal Center of Excellence , based in Ham burg, Germany. The main purpose of this role is to provide legal advice to the ADM EMEA Animal Nutrition and Health & Wellness business activities on a wide range of topics, such as corporate law, incl. M&A activities, commercial and contractual matters and dispute resolution.

Your Responsibilities

The Main Duties Of This Role Will Include

Corporate law

• Company secretarial legal work for ADM companies located in France and other EMEA countries, including assistance for the drafting of the shareholders and board of directors’ resolutions and other corporate law related documents, where needed with the support of law firms
• Assisting in M&A transactions, particularly in legal due diligence, drafting and negotiating agreements for the purchase or sale of shares and assets, joint venture agreements, shareholders’ agreements and general assistance in all legal matters required up to the closing of the transactions
  

Commercial law

• Drafting and negotiation of all types of commercial agreements, including intra-group agreements, the drafting, updating and implementation of general terms and conditions of sale and the drafting of other legal documents at the request of internal services (finance, tax, purchasing, sales, marketing services, etc.)
• Advice and assistance in any matter pertaining to business law (commercial law, competition law, real estate law, environmental law, etc.)
• Drafting and updating contract templates and legal documents
• Management of out-of-court dispute resolution and drafting of the related legal documents
• Management of legal proceedings, if required with the support of law firms
  

Your Profile

• French Master Degree in law (“Baccalauréat +5”, master or equivalent) and fully qualified as a French attorney (“CAPA”, Certificate of Aptitude for the Profession of Lawyer)
• Minimum of 8 years of post-qualification experience in a leading law firm or international corporate legal department
• Speaks and writes fluently in French and English and is proficient in legal English. A good knowledge of another EMEA language is also useful.
• In-depth understanding of legal issues associated with the commercial operations of business organizations in Europe, the Middle East and Africa
• Excellent skills in negotiating and drafting agreements in French and English in an international environment
• Accurate legal advice and efficient work organization
• Excellent knowledge of MS Office and other legal software
• Ability to work in a cross functional teamwork context
• Flexible and hands-on, excellent communication and relationship building skills
