About the opportunity
We are looking for a Corporate Governance Manager to lead our Corporate Governance team within the N26 CEO Office. In this role, you will manage the corporate governance processes and structures within the company, monitor the communication with supervisory authorities, and ensure all corporate governance practices meet regulatory standards. This opportunity will allow you to set-up and improve existing corporate governance structures, implement new corporate governance processes in a dynamic environment, and will give you an overview on the management of a growing FinTech. You will work closely together with the Executive Leadership Team (ELT) of N26, the N26 Supervisory Board and the N26 corporate law team.
Objectives:
- Ensuring Compliance: To guarantee that N26’s corporate governance practices are in full compliance with all regulatory and legal requirements, in particular with regards to proper documentation of key decision-making processes.
- Policy Development: To develop, update, and implement policies and procedures that uphold ethical standards and regulatory compliance, in line with strategic objectives.
- Strategic Alignment: To align corporate governance practices with the strategic objectives of N26, thereby enhancing efficiency and decision-making.
- Regulatory and Supervisory Communication: Providing the framework and monitoring communication with supervisory authorities in Germany and the core markets of N26
In this role, you will have the following key responsibilities:
- Manage a team of corporate governance professionals, including providing the framework to guide their day-to-day work and to support in their professional development
- Set up and implement corporate governance guidelines, including to adapt them in case of changing strategic decisions or upcoming regulatory requirements
- Oversee and monitor the processes of N26’s management committees. This includes updating the current committee structure, while still ensuring that all committee meetings and decisions are properly documented, stored and managed.
- Ensure high quality communication with supervisory authorities and other external stakeholders and the adherence to reporting requirements in the area of corporate governance
- Build and maintain strong relationships with all team members, direct reports, internal executives in other divisions or departments, and relevant internal or external stakeholders and clients
- Act as the main stakeholder in internal and external audits of the company in all matters regarding corporate governance, by providing access to all relevant internal documentation
- Lead the planning of the annual general meetings of N26 in close cooperation with the Legal and Corporate Finance teams
- Report into the N26 CEO Office and ensure the collaboration and cooperation of all teams within the CEO Office
- Partner with N26 management and key stakeholders and regulatory functions on driving efficiency and improved processes within the company
As well as having the following main duties and tasks:
- Prepare and maintain official corporate notices, records and actions of the Management Board and Supervisory Board and ensure compliance with statutory reporting requirements
- Manage committee meetings with high-level stakeholders, including the Management Board and Supervisory Board. This includes alignment with various stakeholders within the company, ensuring the quality of the meeting material and taking meeting minutes of these meetings.
- Oversee the management of N26 committee meetings, including reviewing the meeting material and quality of meeting minutes to ensure a high-quality standard of our internal documentation.
- Adapt and establish governance guidelines, processes and procedures within the company’s written order
- Review communications to the supervisory authorities in Germany and our core markets and actively drive the information sharing process within the organisation to ensure all relevant stakeholders are aware of recent developments.
- Review submissions to the N26 management and assess and edit for clarity, style, purpose or objective, and desired outcomes.
- Manage and oversee projects, including the conduct of the annual general meetings of N26
- Participate in and contribute to team meetings, including facilitation of any follow-up action items.
- Provide access to internal documentation in the context of internal and external audits in close alignment with the CEO Office and management, also on short notice.
- Develop governance guidelines and adapt them to reflect changes in regulation or business goals
What you need to be successful:
Background:
- University degree in the area of economics, law or business administration
- At least 5 years of relevant work experience in the area of governance in a regulated environment, for example in banks, insurance companies or FinTechs.
- Sound knowledge of EU and German corporate governance and banking regulation, including KWG, MaRisk, CRR & CRD. Knowledge of the German Stock Corporation Law would be a plus.
- Good knowledge of the set-up of banking supervision in Germany and the EU
- Previous experience in people management
- Previous experience with supporting senior executives or leaders
- Project management experience would be beneficial. Previous experience in organising and managing an annual general meeting would be an asset.
- Fluent/native in business-level German and English.
Skills:
- Excellent communicator, rapport and relationship builder, with very high emotional intelligence and the ability to maintain key relationships.
- Ability to break down complex concepts and to communicate them to various stakeholders
- Diligence with regard to internal and external communications, including meeting materials and meeting minutes.
- Must be good at assessing and analysing vast quantities of data, information and communications and assessing the relevance of these and their level of priority at all times.
- Highly competent at managing workflows and priorities, also when managing multiple projects or meetings at the same time
- Strong business acumen and business management knowledge and the ability to quickly learn and understand the nuances of different departments and divisions
- Level of integrity that is beyond reproach and be able to keep confidences and corporate confidentiality without question, as well as professionalism with senior leaders
- Adept at quickly learning and understanding the governance set-up of the company, including the roles and responsibilities of N26 management, senior stakeholders and the Supervisory Board.
- Possess advanced office software skills; strong written communication skills, including the drafting and editing of high-level documents; advanced presentation preparation and design skills
- Curiosity and openness when approaching new challenges and projects
- Rational and strategic thinker with problem-solving capabilities and the ability to complete complex tasks and projects quickly with little to no guidance
- Adept at dealing with a variety of complex stakeholders and difficult situations and at managing and overcoming conflict
- You react with appropriate urgency to situations that require a quick turnaround and take effective action to continually improve the status quo
